In our ‘We are Weir’ framework we share our commitment to taking ownership for our shared future as we work together to build an even stronger, smarter Weir. As a further opportunity to harness the power of our collective voice, in 2019 we launched our all employee share plan – Weir ShareBuilder.

Weir ShareBuilder is a simple way to allow each of you to own a part of Weir. We are giving all eligible employees their own shares in Weir at no cost. Whatever role you play, in whatever part of the business, and wherever you are in the world, you can share in our success.

About ShareBuilder

Eligible employees will be given a Weir ShareBuilder Free Share Award at no cost.

Once you receive your first shares, you will become a shareholder, so you’ll be able to enjoy all of the benefits that brings including earning dividends and being able to vote at our Annual General Meetings (AGMs). This is an exciting opportunity for each and every one of us to take ownership of our company and help shape our future together.

Our first ShareBuilder award was granted in May 2019 and we now have thousands of employees across the globe are who are Weir shareholders.

You will be eligible for a Free Share Award if:

You have been employed by Weir for at least a year when the award is made, usually in May each year

You are a full-time or part-time employee

You have not received a Restricted Share Award under the Share Reward Plan in the same year the ShareBuilder award is made.

You have not previously received a ShareBuilder award.

In May 2020 you received the vesting of the first instalment of your 2019 award and became a Weirshareholder. You received the remainder of the shares from your 2019 ShareBuilder award in May 2021.

You will receive the value of your ShareBuilder 2020 award, in November 2022.

You should have been given access to our share plan portal called EquatePlus. This system is managed by Computershare, our share plan administrator.

You can log into the EquatePlus portal and see your share awards.

From 2021 onwards, only newly eligible employees were entitled to receive a ShareBuilder award.

You will receive an award in the year you become eligible.

Once you have been granted a ShareBuilder award, you will not, currently, be eligible to receive a further award in future years.

If you were granted a ShareBuilder award in 2021, you will receive the 18 shares in full in August 2023.

If you were granted a ShareBuilder award in 2022, you will receive the 20 shares in full in May 2024.

Viewing and managing your shares

We have appointed a share plan administrator called Computershare who hold the details about your share award.

They will look after your shares for you in your own account, allowing you to hold your shares safely and securely. When you are granted a free share award, you will be given access to the online share plan portal called EquatePlus.

The portal will allow you to:

View your ShareBuilder award (i.e. see how many shares you’ve got and which ones you’re due in the future)

Manage your vested shares online

View other documentation associated with your shares

By registering for, and logging into the portal, you will be able to view your award and manage your vested shares online.

Becoming a Weir Shareholder

Thanks to Weir ShareBuilder, we will all be shareholders in Weir. Together, we can be part owners of our company, allowing us to help shape our business and share in our future success.

Being a Weir shareholder comes with some great benefits:

As a shareholder in our business, you have a key role to play in creating our future. Together, we are joint owners of Weir, invested in our present and future success – no one stands to benefit more from our achievements than we do!

Vote on key issues at our shareholder Annual General Meeting and help decide how Weir is run and where we are heading.

If the company is making a profit we may decide to share some of this with our shareholders in the form of dividends. You’ll receive any dividends on your Weir ShareBuilder shares as extra shares which will increase your shareholding in Weir.

What is Weir ShareBuilder?

Weir ShareBuilder is our all employee share plan. It’s a simple way for you to own a part of Weir.

What is a Free Share Award?

A Free Share Award grants you the right to be given shares in the future if you remain employed with the Weir Group. These shares will be released to you (this is called ‘vesting’) at a future date, currently 2 years after the date the award is made to you. For example in the case of the November 2020 award, these will be vesting in November 2022 and the award grant in August 2021 will vest in August 2023.

Tips for accessing the EquatePlus portal

As a shareholder, it’s also important to know the basics:

What is a share?

A share is a single unit of ownership in a company that can be bought and sold on a stock exchange.

What is a shareholder?

A shareholder owns at least one share in a company. Once you become a shareholder in Weir, you will be a part owner of the company, and able to vote on key issues at our Annual General Meetings to help decide how Weir is run and where we are heading.

You will also be eligible to receive any dividends we pay out.

What is a stock exchange?

A stock exchange is a place or electronic market where individual investors and large investing institutions, such as pension funds, get together to buy and sell shares. Weir shares are listed on the London Stock Exchange and bought and sold in UK Sterling.

What is the share price?

A share price is the price paid to buy a share in a company and the price received if a share is sold.

The value of shares, or the share price, can go up and down depending on a company’s performance, industry outlook, the economy and world events.

What is share vesting?

When you are allocated your ShareBuilder award, it is given as a free share award which will become a share after a set period of time (see the timeline section for details). When the shares ‘vest’, they become yours and you immediately become a shareholder and are given equity ownership in the company including all the shareholder rights attached to the shares, such as voting rights and right to dividends.

What are dividends?

Part of a company’s profits paid out to its shareholders. In Weir, dividends are usually paid out in June and November.

What is an Annual General Meeting?

This is a yearly meeting that allows shareholders to meet the company’s board of directors and to vote on company decisions. The directors will present the company’s annual report, and shareholders can ask any questions in return.
